Freixenet’s “Holiday” Recipe Contest

Official Rules

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID IN CA, TN, AND UT AND WHERE PROHIBITED BY LAW. Open only to legal residents of the 50 United States and the District of Columbia (excluding residents of California, Tennessee and Utah), who are 18 years of age or older at time of entry. Contest starts November 1, 2007 at 12:00:01 a.m. CT and ends January 7, 2008 at 11:59:59 p.m. CT (“Contest Period”).

HOW TO ENTER.

Visit www.freixenetusa.com and follow the instructions to submit your best Baking recipe(s) ("Recipe"). All recipes must be readily preparable. Recipes must be in English and not more than 200 words. Provide the number of servings your recipe will make, and list of ingredients in order of use with exact U.S. measurements followed by complete preparation directions and any other information you believe is relevant. Entries must be received by the end of the Contest Period. No photocopies, facsimiles, computer generated or mechanical reproductions of entries will be accepted. You may enter as often as you wish, but each entry must contain a completely original recipe.

Freixenet USA (the “Sponsor”), and their agencies, including Wencel/Hess, are not responsible for illegible, late, lost, damaged, misdirected, postage due or incomplete entries/mail or interrupted or unavailable network, server or other connections, miscommunications, failed telephone or computer hardware or software or telephone transmissions or technical failures, Internet Service Provider/network/web site accessibility or availability, garbled or jumbled transmissions or other errors of any kind, whether human, mechanical or electronic; including without limitation the incomplete, incorrect or inaccurate capture of entry information. Sponsor reserves the right, in its sole discretion to cancel or suspend the Contest, should fraud, virus, bugs or other causes beyond the control of Sponsor corrupt the administration, security or proper play of the Contest. Sponsor reserves the right, in their sole discretion; to disqualify any individual found tampering (or attempting to tamper) with the entry process, the website, or the Contest. Any attempt by an entrant to deliberately damage the website or undermine the legitimate operation of the Contest is in violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek remedies and damages from any such entrant to the fullest extent permitted by law, including criminal prosecution and disqualification from Contest. In case of dispute as to identity of entrant, entry will be declared made by the authorized account subscriber of the e-mail account, who must comply with these Official Rules. All entries become the sole property of the Sponsor and will not be returned.

JUDGING

A qualified panel of judges will review each recipe to determine the Grand Prize. Judging of the Grand Prize winners will be based upon the following criteria: (1) character according to theme (40%), (2) ease-of-preparation (30%), and (3) appeal to the general public (30%). The judges’ decisions on all matters pertaining to Freixenet’s Holiday Baking Contest are final. In the event of a tie, tie breaker will be based upon the highest score in the first judging criteria, continuing thereafter to each judging criteria in order (#1-3), as needed, to break the tie.

PRIZES

Two (2) Grand Prizes:

Prize includes retreat to California Wine Country including round-trip, coach class air transportation for two (2) from the airport nearest winners' home within the U.S. to San Francisco, California; one (1) double occupancy standard hotel room for four (4) nights/ five (5) days; culinary courses and a private tour of Gloria Ferrer Caves & Vineyards, home of Freixenet USA, as well as rental car (eligible drivers only). Approximate retail value (“ARV”) up to $3,600, depending upon winners' point of travel origin and airfare fluctuations at the time of taking the trip. Selection of airline, hotel and culinary school are solely within Sponsor’s discretion. All other expenses not specifically mentioned herein are solely the winners' responsibility. All travel must be taken no later than September 15, 2008. Blackout dates may apply. All travel subject to availability and restrictions. Winners and travel guest must travel on same itinerary. If winners is a minor in his/her state of residence, the travel guest must be winners' parent or legal guardian. A minor may accompany winners as a travel guest only if the winners is the minor’s parent or legal guardian. Minors must be accompanied at all times during trip (including, but not limited to, in-flight, hotel stay and all prize-related events) by minor’s parent or legal guardian. Travel guests must sign and return a travel release before any ticketing of travel occurs. Winners and guest must have all necessary identification and/or travel documents (e.g., a valid U.S. driver’s license) required for travel. (Approximate Retail Value: $3,600). All taxes on prizes are the sole responsibility of winners. No prize substitution or cash equivalent of prize allowed except at sole discretion of Sponsor due to unavailability of prize for any reason in which case a prize of equal or greater value will be awarded. Prizes are not transferable and will only be awarded within the United States. Limit one prize per household.

ELIGIBILITY

Employees or officers, directors, agents of Freixenet USA, Wencel/Hess, or their respective parent companies, affiliates, subsidiaries, advertising/promotional agencies, and members of the immediate family (parent, child, sibling or spouse) or persons living in the same household of such individuals, as well as employees of suppliers, distributors, licensees (including retailers) of alcoholic beverages are ineligible to participate or win a prize.

CONDITIONS OF PARTICIPATION

Submission of a recipe grants Sponsor and its agents the right to publish, use, adapt, edit and/or modify such recipe in any way, in any and all media, without limitation, and without consideration to the entrant. Submission of any recipe further constitutes the entrant’s consent to irrevocably assign and transfer to the Sponsor any and all rights, title and interest in the recipe, including, without limitation, all copyrights. Entries: must be the original work of the entrant; may not have won previous awards; may not have been published previously; must not infringe third-party intellectual property or other rights, and must be suitable for publication (i.e., may not be obscene or indecent). By submitting a recipe, you agree that your submission is gratuitous and made without restriction, and will not place Sponsor under any obligation, that Sponsor is free to disclose or otherwise disclose the ideas contained in the recipe on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you. You acknowledge that, by acceptance of your submission, Sponsor does not waive any rights to use similar or related ideas previously known to Sponsor, or developed by its employees, or obtained from sources other than you. By participating, entrants release Freixenet USA, Wencel/Hess, their respective parent companies, affiliates and subsidiaries and each of their respective directors, officers, agents and employees, from any and all liability with respect to participation in the Contest or to acceptance or use (or misuse) of any prize or to participating in any prize-related activities, including travel. Except where prohibited by law, by accepting prize, each winner agrees to use of winner's name, address, city, likeness and any statements made by winner regarding the Contest or Sponsor (provided same are true), as well as the use of the Recipe, for advertising or publicity purposes worldwide without limitation and without compensation and further grants Sponsor any and all rights to said use. By entering, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of State of California, without giving effect to any choice of law or conflict of law rules. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts for Sonoma County, California.
