GRANDMA MOLASSES OFFICIAL RULES And REGULATIONS

1. ELIGIBILITY: No purchase or payment of any kind is necessary to enter or win. A purchase will not improve chances of winning. The Promotion is only open to legal residents of the 50 United States, including the District of Columbia, who are 18 years of age or older as of November 5, 2007. Employees of B&G Foods, Inc., and its affiliates, parents and subsidiaries, respective parent, subsidiary, and affiliate companies, prize providers, advertising, promotion agencies, including Don Jagoda Associates, Inc., and their affiliates, subsidiaries, advertising and promotion agencies and their immediate family members and/or those living in the same household are not eligible. Void where prohibited or restricted by law and is subject to all applicable federal, state and local laws.

2. PROMOTION PERIOD: The "Your Holiday Favorite Could Win You a Family Vacation to Orlando" Promotion ("Promotion") begins at 3 p.m. Eastern Time ("E.T.") on November 5, 2007 and ends at 3 p.m. E.T. on January 8, 2008 ("Promotion Period").

3. HOW TO ENTER: During the Promotion Period, entrants may enter by visiting the entry section at www.grandmasmolassescontest.com ("Entry Site") and completing all information requested on the entry form, including a recipe (in English) in the text box portion of the entry form and clicking on the "submit" button to complete the entry process. In order to be entered into the Promotion, entrants must comply with registration instructions. The entry must be complete to be eligible. The submission may not contain obscene, lewd or inappropriate text, as determined in Sponsor's sole discretion. All entries submitted become the property of the Sponsor and will not be returned. Automated, script, macro or robotic entries submitted by individuals or organizations will be disqualified. Normal Internet access and usage charges imposed by entrants' online service will apply. Limit one entry per person/family/household/e-mail address. Multiple entries will be disregarded.

4. DETAILS: All recipes must incorporate Grandma's Molasses. Name your recipe and list all ingredients with exact U.S. measurements. Include complete directions, pan sizes, required utensils, timing, temperature, number of servings, and any other relevant information. Entries that do not contain the above information will be disqualified, at the Sponsor's sole discretion. Entries must be the original creation of the entrant and may not have been submitted or published in any other publication or contest and must not infringe any third-party right. All entries become the property of B&G Foods, Inc. and will not be returned.

5. GRAND PRIZE AND APPROXIMATE RETAIL VALUE: One (1) Grand Prize: A Five (5) day/four (4) night trip for four (4) to Orlando, FL. Trip includes round-trip coach air transportation from the major airport nearest to the winner's home to Orlando, air transportation provided by AirTran Airways, use of one full size rental car for five (5) days, 4-nights hotel accommodations at the Floridays Resort Orlando (based on quad occupancy), two single-day theme park admission tickets per person (winner's choice of Walt Disney World®, SeaWorld® Orlando or Universal Orlando® and a $100 dinner voucher to use at an Orlando area restaurant (to be determined by The Orlando/Orange County Convention & Visitors Bureau). (Approximate Retail Value $5,315). Trip must be completed by December 31, 2008. Blackout dates and other restrictions may apply as dictated by airline and/or hotel. All travel arrangements are subject to availability.

6. FIRST PRIZES AND APPROXIMATE RETAIL VALUE: Five (5) First Prizes: An Emerilware Cookware Set. Approximate Retail Value is $200 each.

7. RANDOM SELECTION (IF NECESSARY) & JUDGING: In the event more than 1,500 eligible entries are received, 1,500 eligible entries will be selected randomly (to be judged), on or about January 22, 2008, from among all eligible entries submitted. Drawing will be conducted by Don Jagoda Associates, Inc. ("Judges"), an independent judging organization whose decisions are final on all matters relating to this Promotion. Odds of being selected as one of the 1,500 eligible entries depend upon the total number of eligible entries received. Finalist Judging: The 1,500 selected entries will be judged to determine the Finalists. In the event there are 1,500 or fewer eligible entries received, all eligible entries will be judged as described below. The Finalist Judging will occur on or about February 8, 2008, by the Judges, based on the following judging criteria: 40% perceived taste; 40% originality; and 20% best use of Grandma's Molasses. Entries that do not contain all required entry information, or are considered inappropriate or lewd (in Sponsor's sole discretion) are not eligible. Grand and First Prize Judging: The six (6) entries that receive the highest scores will be deemed Finalists. Each Finalist will receive a jar of Grandma's Molasses, so that he/she may use it to prepare the recipe he/she submitted for the Contest. Once the recipe has been prepared, each of the 6 Finalists will then be required to take a photograph of the prepared recipe for submission into the Grand and First Prize Judging. Grand and First Prize Judging will be based on the following judging criteria: 40% perceived taste; 30% best use of Grandma's Molasses and 30% overall appearance of prepared recipe as depicted in photo. In the event of a tie in either round of judging, tied entrants will be re-judged based solely on perceived taste, to determine a winner.

8. WINNER NOTIFICATION: The potential Finalists will be notified by phone and/or mail and will be required to complete, sign and return, a notarized Affidavit of Eligibility/Release of Liability/Assignment of Rights and, where legal, Publicity Release, along with the photograph of their prepared recipes. The potential winners are required to return the document and photograph within 10 days from the postmark date on the prize notification letter or prize may be forfeited and an alternate winner determined. If any prize or prize notification is returned as undeliverable, such prize will be forfeited, and an alternate Finalist or winner will be determined. Winners, where applicable, are responsible for any and all federal, state and local taxes. It is the policy of Sponsor, in compliance with United States Internal Revenue Service regulations, to send a Form 1099 to any winner receiving a prize valued at $600 (USD) or more, which requires disclosure of the winner's social security number. The winner remains solely responsible for paying all federal and other taxes in accordance with the laws that apply in winner's state of residence.

9. PRIZE RESTRICTIONS: The Grand Prize winner and travel companions must travel together on the same itinerary and must have valid travel documents (i.e., valid photo ID) prior to departure. Grand Prize Winner's travel companions (or parent/legal guardian if a travel companion is a minor) must execute a Release of Liability prior to departure. Airline carrier's regulations and conditions apply. Trip may not be combined with any other offer and travel may not qualify for frequent flyer miles. Trip must be taken by December 31, 2008. Certain additional restrictions may apply. Seat selection and timing of trip subject to availability and confirmations of reservations. Car rental is subject to additional restrictions set forth by car rental contract. If winner does not meet rental car requisites/requirements that portion of the prize will not be awarded and no additional compensation will be provided. All other expenses and costs, not expressly listed above, including, but not limited to, taxes, meals, tips, entertainment and transportation are the winner's sole responsibility.

10. GENERAL RULES: All entries must be the sole, original work of the Entrants. Judges may disqualify previously published recipes and photographs that have won previous awards or competitions. Entries/photographs become the property of the Sponsor and will not be acknowledged or returned. Entrants and winners acknowledge and agree that their entries/ photographs become the property of the Sponsor, which thereby has the right to edit, adapt, modify, reproduce, promote and otherwise use entries/photographs in any way it sees fit. No information regarding entries or judging will be disclosed. Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Promotion; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. In the event this Promotion is compromised in any way, the Sponsor reserves the right to cancel, terminate, or suspend the Promotion and in such event, to select the winners from among all eligible entries received, up to such time of cancellation, termination or suspension. Entrants agree to be bound by these Official Rules and the decisions of the judges. All aspects of the prizes are non-transferable and no substitutions or cash equivalents are allowed except at the Sponsor's sole discretion. Neither the Sponsor nor the its agencies make any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the use of prize including, without limitation, quality, merchantability, and fitness for a particular purpose. Winners, in accepting their prize and entrants, consent to the use of their names and entries, address (city, state), photograph and likeness for purposes of advertising, trade and promoting in any and all media on behalf of the Sponsor, including, without limitation, posting on www.grandmasmolassescontest.com, without further compensation, except where prohibited by law.

11. LIMITATION OF LIABILITY: By participating in this Promotion, entrants agree to release, hold harmless, and agree not to institute any claim against Sponsor and all agents of Sponsor for the Promotion and each of their respective parent companies, affiliates, subsidiaries, and their respective officers, directors, employees, agents, and representatives (collectively, "Released Parties") from any and all liability whatsoever for any injuries, losses or damages of any kind arising from or in connection with, either directly or indirectly, 1) the awarding, acceptance, receipt, possession, use and/or misuse of any prize awarded herein; and/or 2) participation in the Promotion or any prize related activities, including but not limited to traveling to or from any prize related activity. Upon delivery of the prize to the winner, Sponsor will be deemed to have awarded the prize to the winner with winner assuming full responsibility for the prize. Released Parties are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, website, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one's ability to enter the Promotion, including any injury or damage to your or any other person's computer relating to or resulting from participating in this Promotion or downloading any materials in this Promotion. The Released Parties are not responsible for printing or typographical errors in any Promotion-related materials, stolen, lost, late, misdirected, or incomplete entries. The Released Parties are not responsible for incorrect entry information by entrants.
Under no circumstances will entrants be permitted to obtain awards for, and entrants hereby waive all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, and entrants further waive all rights to have damages multiplied or increased.

12. PRIVACY: Sponsor will be collecting personal data about entrants in accordance with its privacy policy. Please review the Sponsor's privacy policy at www.bgfoods.com/int_privacy.asp. By participating in the Promotion, you hereby agree to Sponsor's collection and usage of your personal information and acknowledge that you have read and accepted Sponsor's privacy policy.

13. GOVERNING LAW & VENUE: The New Jersey Courts (State & Federal) shall have sole jurisdiction of any controversies regarding the promotion and the laws of the state of New Jersey shall govern the same. Each Promotion entrant waives any and all objections to jurisdiction and hereby irrevocably submits to the venue of those courts within the State of New Jersey.
