“Chocolate Challenge” Contest with Curtis Stone

Recipe & Essay Contest
OFFICIAL RULES 

Green & Black’s, a division of Cadbury Adams USA LLC (“Sponsor”), is excited to announce a recipe and essay contest (“Contest”) that will give people the opportunity to showcase their taste for organic food and demonstrate how they incorporate Green & Black’s chocolate into their favorite recipes of five ingredients or less. Contest entrants should submit a recipe (consisting of five ingredients or less) that incorporates at least 2 oz. of Green & Black’s chocolate, along with a photo of the prepared dish, and an essay that explains their growing taste for organic and how their recipe wows their family and/or friends. Recipes that do not incorporate at least 2 oz. of Green & Black’s chocolate will be disqualified. For each valid entry, Sponsor will give $10 to the Toledo Cacao Growers’ Association farmers’ cooperative in Belize, from which Green & Black’s has been procuring cocoa beans under a Fair Trade agreement for several years.  These funds, up to a maximum aggregate contribution of $100,000, will go toward the planting and growth of hardwood trees on farmers’ land.  These hardwood trees, as part of a reinvestment in the indigenous rainforest, will provide 3 main benefits to the farmers: 1) shade that’s needed to grow their cocoa plants, 2) increased sustainability of the soil due to balanced nutrient levels, reduced erosion, and protected watersheds and 3) high value woods that can be used by future generations as a cash crop once the trees reach the end of their life spans.

Contest begins at 8:00 A.M. Eastern Standard Time on February 4, 2008, and ends at 11:59 P.M. Eastern Daylight Time on April 21, 2008. Void where prohibited.

ELIGIBILITY:

This Contest is open to all legal residents of the 50 United States and D.C. 21 years of age and older. Employees of Sponsor and of Sponsor’s parent companies, affiliates, subsidiaries, distributors, sales representatives, retailers, advertising, public relations, sales promotion and judging agencies and all other service agencies involved with the Contest and the immediate families or household members of such employees are not eligible.

TO ENTER: 

To enter: (a) visit the Green & Black’s United States Web site, www.greenandblacks.com (the “Web site”), complete the online entry form and submit it online or via mail, in accordance with the on-screen directions, along with your five ingredient or less recipe and photo of the prepared dish, as well as a 200-word or less essay that explains your growing taste for organic and how your recipe wows your family and/or friends; or (b) obtain a mail-in entry form by sending a self-addressed stamped business-size (#10) envelope (SASE) to:  Green & Black’s Chocolate Challenge Contest with Curtis Stone, C/O Cohn & Wolfe, 292 Madison Avenue, Floor 8, New York, NY 10017.  A copy of the Official Rules may also be obtained by sending a SASE to this address.  Vermont residents may omit return postage on all self-addressed envelopes submitted with entries or with requests for Official Rules.  Recipe submissions must incorporate at least 2 oz. of Green & Black’s chocolateand demonstrate how the entrant incorporates Green & Black’s chocolate into his/her cooking or baking.  All entries must be postmarked by April 21, 2008, and received by April 30, 2008.  The Sponsor is not responsible for late, lost or misdirected entries.  All entries, including the RECIPE submitted, become the property of the Sponsor and none will be returned.  Food creation, in its entirety, must be an edible product.  Once an entry is submitted, it cannot be changed, altered or modified.  By participating, entrants agree to be bound by the Official Rules and Sponsor’s decisions on all matters relating to this Contest, which shall be final.  Sponsor reserves the right, in its sole discretion, to cancel or suspend this contest should causes beyond Sponsor’s control corrupt the administration, security or proper play of the Contest. In case of cancellation, winner may be chosen from eligible entries received prior to date of cancellation.

Limit: One entry per person. The recipe submitted must be original, cannot be previously entered into a contest or published and must not violate or infringe the rights of any third party, including but not limited to rights of copyright, trademark, publicity or privacy.   Multiple entries will invalidate the entrant. Any person who attempts to participate with multiple street addresses, or under multiple identities, will be disqualified. All entries become the property of the Sponsor and will not be acknowledged or returned.

JUDGING and SELECTION/NOTIFICATION OF WINNERS: 
Five grand prize winning entries will be chosen from all eligible entries.  Each entry must contain at least 2 oz. of Green & Black’s chocolate.  An independent panel of judges appointed by the Sponsor will judge entries on the basis of the recipe and written essay.  The first round of judging will include scoring both the essay and the recipe on the following criteria. In judging the essays, the judges will assign points based upon the following criteria: relevance to the “growing taste for organic” contest theme (i.e., consumers growing preference for organic food/ingredients) (1-25 points); creative expression (1-15 points); and clarity (1-10 points).  In judging the recipes, the judges will assign points based on the following criteria:  appearance (1-15 points); creativity (1-20 points); and ease of preparation (1-15 points). Points from the essay and recipe portions of the judging will be combined, weighted equally, to determine each entry’s score for the first round of judging. For the second, and final, judging round, the top entries, up to 25, will then be prepared and judged on taste (1-100 points). Each entry’s score in the taste category will be combined with the score from the first round of judging to determine the five contest winners. In the event of a tie, the entry with the higher score first in the “relevance to theme” category for the essay portion of the judging and then in the “taste” score from the final portion of judging will determine the winner.  If there is still a tie, the tied entrants will be re-judged by an additional judge who will serve as the tie-breaker using the same judging criteria as outlined above regarding the judging of essays and recipes. All recipes must incorporate Green & Black’s chocolate and essays must clearly reference the use of Green & Black’s chocolate. Entries that do not incorporate and reference use of Green & Black’s chocolate will be automatically disqualified. Winners will be selected on or about May 12, 2008, by a panel of judges whose decisions will be final and binding on all matters relating to the Contest.  The grand prize winners will be notified via telephone and certified mail and must complete and return an Affidavit of Eligibility/Release of Liability and a Publicity Release where legal (“Affidavit/Release”) and any other documents required by Sponsor within the time period specified by Sponsor.  If any potential winner:  (a) is unreachable by telephone or certified mail within seventy-two (72) hours after Sponsor’s first attempt to notify such individual; (b) fails to return all documents, including the Affidavit/Release, fully executed as required by Sponsor; or (c) does not comply with these Official Rules, such potential winner may be disqualified at Sponsor’s sole discretion, and a new potential winner may be chosen.  The five winning recipes and essays may be posted to the Web site for public viewing. 

PRIZES:
Five grand prizes will be awarded.  Winners will be announced to the public on or about May 19, 2008.  The grand prize winners will receive a trip for two (winner and one guest) to New York City with round-trip coach airfare for two from a major gateway airport nearest to winner’s home, transportation between winner’s home/airport and airport/hotel, accommodations for two (one room, double occupancy) for a three day and two night stay at a hotel selected by Sponsor (including hotel/room rate and related taxes only).  Trip must be completed June 7, 2008 through June 9, 2008 or prize will be forfeited.  However, winner may be required to make media appearances during his/her stay and the stay may be extended for up to two days depending on media schedules.   Some restrictions may apply.  Five grand prize winners will be awarded with a cooking session, i.e., a day spent shopping for fresh, organic ingredients at gourmet New York City markets and preparing a delicious, organic meal with Curtis Stone by their side, on or about June 9, 2008 at a location to be selected by Sponsor with Curtis Stone.  Winner will also receive two tickets to the James Beard Foundation Awards Gala, a black-tie awards show that honors culinary professionals for excellence and achievement in their field, on June 8, 2008 and an up to $500 cash stipend for tuxedo rental or other appropriate black-tie attire arranged for by the winner.  If a winner is unable to participate in the cooking session with Curtis Stone, the winner’s status will be forfeited and an alternate winner may be selected, if circumstances permit.  Approximate retail value (“ARV”) of each grand prize is $5,000.  Actual value depends on point of origin and duration of stay in New York City.  Alternate transportation will be provided by the Sponsor if winner lives within 100 miles of New York City.  All expenses not specified herein, including but not limited to meals, transfer, taxes and gratuities, are the sole responsibility of the winner. Prizes are not transferable. No substitutions, cash reimbursement or transfer of any prizes permitted, except Sponsor reserves the right to substitute a prize of equal or greater value should any of the advertised prizes become unavailable. All prizes will be awarded provided they are properly claimed in accordance with these Official Rules and a sufficient number of eligible entries are received and provided further that circumstances permit. Limit one prize per person, household or family.  Winner’s guest may only be a minor (as defined under applicable state law), if winner is his/her parent or legal guardian and his/her parent or legal guardian signs an Affidavit/Release (as defined above).

TERMS AND CONDITIONS:

Void outside the 50 United States and D.C. and where prohibited.  All federal, state, and local laws and regulations apply. By participating, entrants agree to be bound by the Official Rules.  Sponsor reserves the right, in its sole discretion, to cancel or suspend this Contest should causes beyond Sponsor’s control corrupt the administration, security or proper play of the Contest.  In case of cancellation, winners may be chosen from all eligible entries received prior to date of cancellation.  If a potential winner is found to be ineligible, or if he/she does not comply with the Official Rules, or if prize notifications are returned as undeliverable, this will result in disqualification and an alternate winner may be selected.  Prizes are non-transferable.  No cash redemptions or substitutions permitted, except by Sponsor who may substitute a prize of equal or greater value if the featured prize or any portion thereof becomes unavailable.  All taxes on prizes are the sole responsibility of the winner. Except where prohibited by law, the winners and entrants agree that by entering the Contest or accepting a prize, winners and entrants are irrevocably granting Sponsor and/or Sponsor’s assignees the right to use their name, image, photograph, likeness, statements, voice, signature, biographical information, city and state address, recipe and essay submission (in whole, in part or altered in any way) and/or any other intellectual property or materials created or submitted as part of the Contest, in addition to any and all materials (including, without limitation, audio-visual recordings and photographs of winners) created during pubic relations activities related to the Contest (collectively “Publicity Materials”) for any lawful purposes (including, without limitation, for purposes of advertising, publicity and trade related to Sponsor’s products and/or services), in any and all media (including, without limitation, on any Sponsor web sites), on a worldwide basis, without further compensation. In addition, except where prohibited by law, winners agree to make themselves reasonably available for public relations activities in connection with the Contest and/or Prize. Winners agree that their statements, essays and recipes may be used in whole or in part and may be amplified, shortened, and/or edited to meet the requirements of copy, layout and/or script, provided their general sense is not changed, and hereby waive any right to inspect and approve finished Publicity Materials and winners will not hold Sponsor or Sponsor’s parent companies, affiliates, subsidiaries, distributors, sales representatives, retailers, advertising, public relations, sales promotion and judging agencies or any other service agencies responsible for any liability resulting from the use of the Publicity Materials. All Publicity Materials developed or used hereunder shall be and remain Sponsor’s property, and winners specifically understand and agree that any copyrightable Publicity Materials shall be works “made for hire” and winners shall retain no ownership rights whatsoever in or to said works.  If said Publicity Materials are not considered works “made for hire,” winners hereby assign all said works to Sponsor.

Winners and entrants also agree:  (1) to release, discharge, indemnify and hold harmless Sponsor, Sponsor’s parents, affiliates and subsidiary companies, distributors, sales representatives, retailers, advertising, public relations, sales promotion, and judging agencies and their respective employees, officers, and directors from any harm, liability, loss, claims (including, without limitation, claims relating to copyright or trademark infringement, defamation or invasion of privacy or infringement of any third party right), damage, cause of action, loss of enjoyment or cost or expense of any nature whatsoever, including reasonable attorneys’ fees and court costs incurred, directly or indirectly from participating in the Contest or the Prize, including but not limited to, personal injuries, property damage and/or death resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Contest-related activity, including the making of Contest entry, or participation in this Contest; (2) to waive all rights to claim or collect punitive, incidental, consequential or any other damages; (3) that all causes of action arising out of or connected with this Contest shall be resolved individually without resort to any form of class action; (4) that any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees; and (5) that New York law shall apply exclusively to the Contest and that any dispute with respect to the Contest shall be resolved in either the federal or state courts located in the State of New York.

GENERAL:  Sponsor is not responsible for any typographical or other errors in the printing, offering or description of the prizes or any other materials produced in connection with the Contest. Sponsor is not responsible for lost, late, stolen, misdirected, mutilated or illegible entry materials nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials or for technical, network, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry materials by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.  If for any reason, including infection by computer viruses, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes, the administration, security, fairness, integrity or proper conduct of the Contest is corrupted or affected, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest. In addition, if for any reason, in its sole discretion, Sponsor determines that the Contest should not or cannot be run as planned, Sponsor may cancel, terminate, modify or suspend the Contest. Uses of automated devices are not valid for entry, and will be subject user to immediate disqualification.
