KIKKOMAN PEARL¨ ORGANIC SOYMILK RECIPE CONTEST
OFFICIAL RULES

1. NO PURCHASE NECESSARY TO ENTER OR RECEIVE A PRIZE. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.

2. CONTEST ENTRANTS AND PRIZE RECIPIENT MUST BE A LEGAL RESIDENT OF THE 50 UNITED STATES/D.C. AND AT LEAST 18 YEARS OLD AT TIME OF ENTRY TO BE ELIGIBLE. VOID OUTSIDE THE 50 UNITED STATES/D.C AND WHERE OTHERWISE PROHIBITED BY LAW. Employees of the Sponsor and the immediate family members of each are not eligible. Contest subject to applicable federal, state and local laws and regulations. Any violation of these rules may result in disqualification. Sponsor is not responsible for errors in the administration or fulfillment of this contest, including without limitation mechanical, human, printing, distribution or production errors, and may modify or cancel this promotion based upon such error at its sole discretion without liability.

3. HERE'S HOW TO ENTER: There are two ways to enter: a) Online Entry: To enter online, go to http://www.kikkomanusa.com between 12:00:01 AM Eastern Standard Time ("EST") on February 4, 2008 and 11:59:59 PM EST on March 28, 2008, fill in required information on the Entry Form, and submit the form as directed. Entrants will be required to provide complete name, home address, telephone number, date of birth, e-mail address and an original soymilk receipe describing how to use Kikkoman Pearl¨ Organic Soymilk (Original, Unsweetened, Creamy Vanilla, Chocolate, Green Tea or Coffee) to create a delicious dessert (as more fully set forth below) (ãSoymilk Recipeä); b) Mail In Entry: To enter by mail, hand print or type your complete name, home address, telephone number, date of birth, and your Soymilk Recipe (as more fully set forth below) and mail in an envelope with sufficient postage to: Kikkoman International Inc.; Attn: Pearl¨ Soymilk Recipe Contest; P.O. Box 420784; San Francisco, CA 9414142-0784 USA.

Soymilk Receipe must be a fully original creation of the entrant and cannot have been published before. Limit one entry per person/per household/e-mail address. Multiple or duplicate entries will be disqualified. Sponsor is not responsible for lost, late, incomplete, postage incomplete, or otherwise misdirected entries or entries that are processed late or incorrectly or are lost due to computer, electronic malfunction, postal error or other error. Proof of submission will not be deemed to be proof of receipt by Sponsor. ALL ENTRIES MUST BE SUBMITTED/POSTMARKED BY THE CONTEST CLOSING DATE on March 28, 2008. MAIL-IN ENTRIES MUST BE POSTMARKED BY March 24, 2008 AND RECEIVED BY March 28, 2008. In the event that the same or similar Soymilk Receipe is submitted by more than one entrant or an entrant enters the same Soymilk Recipe more than once, only the first entry received will qualify. By providing your e-mail address and/or home address, you grant Sponsor the right to send you commercial mail and share your address with others, unless specified otherwise as indicated on the entry form.

4. START/END DATES: Contest begins at 12:00:01 a.m. EST on February 4, 2008 and ends at 11:59:59 p.m. EST on March 28, 2008.

5. SOYMILK RECIPE: You must create a fully original Soymilk Recipe for a dessert using at least one-half (1/2) cup of any of the following Kikkoman Pearl¨ Organic Soymilk flavors, alone or in combination: Original, Unsweetened, Creamy Vanilla, Chocolate, Green Tea and/or Coffee. Your Soymilk Recipe must be for a dessert, must have a total preparation time of thirty (30) minutes or less, and must include at least ¸ cup of Kikkoman Pearl¨ Organic Soymilk. The recipe should include five (5) additional ingredients other than the Pearl¨ Organic Soymilk. So each recipe can include a total of six (6) ingredients or less. Smoothies recipes will not be accepted. The Soymilk Recipe must list all ingredients used in exact common U.S. household measurements with step-by-step preparation instructions. Do not submit any brand names for other ingredients used. Sponsor reserve the right to reject any entries that it deems, in its sole discretion, to be inappropriate, for any reason whatsoever, including failure to adhere to the requirements of these Official Rules.

6. SUBMISSIONS: Your entire contest entry, including your Soymilk Recipe becomes property of the Sponsor and will not be acknowleged or returned. By submitting any Soymilk Recipe or other idea to http://www.kikkomanusa.com you hereby grant to Sponsor any and all rights and ownership to your Soymilk Recipe including, but not limited to, all copyright, trade secret, trademark, and intellectual property rights therein. Submission of an entry grants Sponsor and its agents the right to publish, produce, use, adapt, edit and/or modify the Soymilk Recipe in any way and in any and all media, without limitation and without compensation to the entrant.

You hereby represent and warrant that (a) you have all necessary right, power and authority to grant the rights to your Soymilk Recipe as set forth herein, and (b) your Soymilk Recipe is not harmful to users and does not violate, misappropriate or infringe any copyright, trade secret, trademark or other intellectual property right of any other person or entity. You will take, at Sponsorâs expense, any further action (including, without limitation, execution of affidavits and other documents) reasonably requested by Sponsor to effect, perfect or confirm the right granted to Sponsor to your Soymilk Recipe as set forth herein.

In exchange for the rights and ownership to your Soymilk Recipe, if your Soymilk Recipe is published, used and/or posted by Sponsor, your first name and last initial will be used in conjunction with such publication, posting or use. By submitting a Soymilk Recipe, you hereby grant Sponsor the right to use your name in connection with the publication, use or posting of your Soymilk Recipe. You will include your name and address/e-mail address with your Soymilk Recipe so that we can contact you if we have any questions about your Soymilk Recipe; however, only your first name and last initial will be published with your Soymilk Recipe (unless permission is granted from you to use your full name).

7. WINNER SELECTION: All entries will be judged based exclusively on the folloing criteria and in the following measure: 1) Product Usage (40%) (0-40 points) (the uniqueness, realistic application and ease of preparation of Soymilk Recipe); 2) Effectiveness and Taste (30%) (0-30 points) (how well the Kikkoman Pearl¨ Organic Soymilk contributes to the taste and to the overall dessert prepared); 3) Creativity (30%) (0-30 points) (creativity and originality of Soymilk Recipe). All entries will be judged by Kikkoman using the judging criteria on or about April 7, 2008. The Six (6) entries with the highest scores will be declared the potential winners (1 Grand Prize Winner and 5 Runner-Up Winners based on cumaltive point totals). In the event of a tie, potential winners will be decided based on the ÎCreativityâ criteria. Potential winners will be notified by e-mail, phone or U.S. Mail on or about May 15, 2008. Each entrant selected as a potential winner must comply with all terms and conditions set forth in these Offical Rules, and winning is contingent upon fulfilling all such requirements. If any potential winner cannot be contacted, does not respond within five (5) business days, or the prize or prize notification is returned as undeliverable, such potential winner forfeits all rights to any prize and an alternate winner may be selected from all remaining eligible entries. All decisions of the judges are final and binding in all respects pertaining to this Contest.

8. PRIZES: One (1) Grand Prize Winner and Five (5) Runner-Up Winners will be selected. The Grand Prize Winner will receive six (6) 32-oz. cartons of Kikkoman Pearl¨ Organic Soymilk product, a Kikkoman shopping bag, bake ware (as determined by Sponsor in its sole discretion), and a Kikkoman apron. The Five Runner-Up Winners will receive six 32-oz. cartons of Kikkoman Pearl¨ Organic Soymilk product and a Kikkoman apron. APPROXIMATE RETAIL VALUE OF PRIZES: $50.

Income and other taxes, if any, are the responsibility of prize winner. No substitution, assignment, redemption for cash, or transfer of any prize permitted except at Sponsorâs sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value.

9. CLAIMING PRIZE/RELEASE: Eligibility, age and prize claim by Potential Winner is subject to verification. Sponsor is not responsible for fraudulent calls/e-mails/correspondence made to entrants not by Sponsor. Potential Winner must sign before a notary and return an Affidavit of Eligibility (including social security number)/Prize Acceptance/Liability and (where legally permissible) a Publicity and Copyright Permission Release Form within ten (10) business days of receipt. Non-compliance may result in disqualification and the Contest prize will be awarded to an alternate Prize Winner in a random drawing from among all remaining entries.

10. INTERNET: If for any reason this contest is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor reserves the right, at their sole discretion, to disqualify any individual who tampers with the entry process and/or to cancel, terminate, modify or suspend the Contest. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Use of bots or other automated process to enter is prohibited and may result in disqualification at the sole discretion of Sponsor. Sponsor is not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by the Sponsor due to technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participating in this Contest or downloading any materials in this Contest. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity or eligibility of a winner based on an e-mail address, the winning entry will be declared made by the "Authorized Account Holder" of the e-mail address submitted at time of entry. "Authorized Account Holder" is defined as the natural person 21 years of age or older who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

11. GENERAL: By entering this Contest, and accepting a prize, entrants: (1) agree to be bound by these rules; (2) agree to release Sponsor and its parent companies, affiliates; subsidiaries; advertising and promotion fulfillment and/or judging agencies from all liability, claims, action or proceedings related to the Contest and from injuries or damages relating to acceptance or use of the prize; and (3) consent to the use of his/her name, voice, picture and likenesses and winning entry for editorial, advertising and promotional purposes in any medium throughout the world in perpetuity without additional compensation unless prohibited by law.

12. NAME OF WINNERS: To obtain a Winners List, send a self-addressed, stamped envelope to: Kikkoman Soymilk Recipe Contest, c/o Kikkoman International Inc, P.O. Box 420784, San Francisco, CA 94142-0784 after April 20, 2008. Please specify "Winners List" on the outer envelope.
