SPLENDA® Sweetener Products & GOYA® Coconut Products Holiday Recipe Contest 

OFFICIAL RULES

1. Contest Period: SPLENDA® Sweetener Products & GOYA® Coconut Products Holiday Recipe Contest (the "Contest") begins at 12:00 p.m. ET on October 15, 2008 and ends at 12:00 p.m. ET on December 31, 2008 (the "Contest Period").

2. How To Enter: During the Promotion Period, you may enter by submitting your favorite holiday recipe made with at least one SPLENDA® Sweetener Product and at least one GOYA® Coconut product ("Entry"). You may enter via any of the following two methods: 1) By visiting, www.SplendaGoya.com ("Contest Web site") and registering and including your recipe; 2) By typing your recipe, double spaced on 8.5" x 11" white paper and including a cover page with your first and last name, complete address, daytime phone number, email address (if applicable), date of birth, signature, along with the following line: "I understand and agree that my entry may be posted online in Sponsor's sole discretion" and mailing your completed Entry, to: SPLENDA® Sweetener Products & GOYA® Coconut Products Holiday Recipe Contest, P.O. Box 7878, Melville, NY 11775-7878. SEE RECIPE DETAILS (SECTION #3) FOR ADDITIONAL INFORMATION REGARDING RECIPE. Mechanically reproduced mailed entries will not be accepted. The recipe/Entry must: 1) be complete, in English or Spanish, to be eligible; 2) be the property of the entrant; 3) not have been submitted in any other competition or previously published or won any awards; 4) contain at least one SPLENDA® Sweetener Product and at least one GOYA® Coconut product. Sponsor reserves the right to substitute alternative ingredients in any submitted recipe when being published to make the recipe more appealing to the general public. Any Entry deemed inappropriate or unsuitable, in Sponsor's sole discretion will be disqualified. Entrants may not copy or otherwise plagiarize the Entry from any source. Any Entry that is, in the Sponsor's sole discretion, obscene, profane, lewd, defamatory, contains any content unsuitable for advertising, or otherwise violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable, will not be considered and may disqualify the entrant. Any entry not in compliance with the above and does not meet the Contest Web site requirements will be disqualified. Entries must be in keeping with Sponsor's image and may not be offensive, as determined by Sponsor in its sole discretion, nor can it defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person's personal or proprietary rights. All entries submitted become the property of the Sponsor and will not be returned. Normal Internet access and usage charges imposed by entrants' online service will apply if entering online. Modifying, enhancing or altering a third party's pre-existing work does not qualify as an original work. No information regarding entries or judging, other than as otherwise set forth in the Official Rules will be disclosed. Online entries must be received by 12:00 p.m. ET on December 31, 2008. Mail-in entries must be postmarked by December 31, 2008 and received by January 7, 2009. Limit 5 entries per person/email address. Each recipe/Entry must be unique in order to be eligible. Limit one entry per envelope. Limit five entries per person/email address regardless of method of entry.

3. Recipe Details: Your original holiday recipe made with any SPLENDA® Sweetener Product and any GOYA® Coconut products can be for breakfast, lunch, appetizers, dinner, or dessert and must include at least one SPLENDA® Sweetener Product and at least one GOYA® Coconut Product. You must name your recipe, recipe name, and list all ingredients with exact U.S. measurements. Include complete directions, kitchen items needed (i.e. pan sizes, required utensils, etc)., timing, temperature, number of servings, and any other relevant information needed to prepare the recipe. Sponsor reserves the right to substitute alternative ingredients in any submitted recipe when being published to make the recipe more appealing to the general public.

4. Judging: All Entries will be judged by a panel of judges on or about January 28, 2009 based on the following criteria: Overall Originality of Recipe (25%); Ease of Preparation (25%); Perceived Taste (50%) to determine the top 10 Finalists. In the event of a tie during the judges' phase of judging, tied entries will be judged based solely on Perceived Taste. The Finalist recipes determined above will then be kitchen tested by a separate panel of judges, selected by Sponsor, and judged on or about March 6, 2009 based on the following criteria: Overall Originality of Recipe (25%); Ease of Preparation (25%) and Overall Taste (50%); to determine the Grand, First and Second prize winners. In the event of a tie during the kitchen-testing phase of judging, ties will be broken based solely on Overall Taste. Judges will disqualify previously published recipes, such as but not limited to those in major cookbooks, in magazines, from food companies, on major food or recipe websites and winners in national contests, unless the recipe features changes considered significant by the judges. Decisions of judges are final with respect to all matters relating to this Contest. By participating, entrants agree to the Official Rules and the decisions of the Judges, which shall be final and binding in all respects. Winners will be notified by phone, mail, or e-mail. In Sponsor's sole discretion, recipes may be adapted to modify nutritional value. Nutritional value is not a judging criteria and will not be a factor in the judging process.

5. Prizes And Approximate Retail Values ("ARV"): Grand Prize (1): A $5,000 check (ARV: $5,000). First Prize (1): A Gift Basket with Sponsor-selected SPLENDA® Sweetener Products & GOYA® Products (ARV: $300). Second Prize (1): A Gift Basket with Sponsor-selected SPLENDA® Sweetener Products & GOYA® Products (ARV: $150). No substitution or transfer of prize is permitted. All federal, state, and local taxes are the sole responsibility of the winner.

6. Eligibility Criteria: Open only to legal residents of the 50 United States, including the District of Columbia and Puerto Rico, who are 18 years of age and older or the age of legal majority in their state as of date of entry. Enrollees of federally subsidized healthcare programs are not eligible. Employees of McNeil Nutritionals, LLC, GOYA® Foods, and each of their affiliates, shareholders, directors, agents, parents or subsidiaries, respective parent, subsidiary, and affiliate companies and advertising and promotion agencies, including Don Jagoda Associates, Inc. and members of their immediate families (spouses, parents, children, and siblings and their spouses) and/or those living in the same household of each are not eligible. Void where prohibited by law and subject to all federal, state, and local laws.

7. General Rules: Potential winners may be required to sign and return an Affidavit of Eligibility, liability/publicity release (where legal), assignment of rights within seven (7) days of notification attempt or the prize will be forfeited and an alternate winner may be determined. Return of prize notification as undeliverable may result in disqualification and alternate determination. By participating in this Contest, entrants agree to be bound by the Official Rules and the decisions of the judges. The Sponsor and its agencies are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled, or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in this Contest or by any human error which may occur in the processing of the entries in this Contest or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with this Contest. No responsibility is assumed for lost, misdirected, illegible, damaged, postage due, or late mailed entries. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Contest or web site; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If, for any reason, the online portion of the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, then the Sponsor reserves the right at its sole discretion to cancel the online portion of the Contest and determine the winner from among all eligible online Entries received prior to cancellation and all eligible mailed entries received, based on the same criteria listed above.

8. Release: By entering the Contest, you hereby grant the Sponsor, its affiliates, subsidiaries, assigns, licensees, and legal representatives the irrevocable, perpetual, worldwide right to use, reproduce, edit, market, store, distribute, have distributed, reproduce, re-arrange, change, add to or delete from, translate, adapt, or otherwise revise and/or alter the Entry (including, but not limited to, nutritional/ingredient changes), publicly and privately display, communicate, publicly and privately perform, transmit, have transmitted, create derivative works based upon, and promote the Entry, for editorial, commercial, promotional, regulatory or legal reasons and all other purposes. In addition, you hereby grant the Sponsor the right to modify your recipe, including entry ingredients and directions to fit within Sponsor's health/dietary guidelines. Sponsor's decision to modify or not modify your recipe will not be a factor in the judging process. In addition, you hereby assign to the Sponsor all royalty-free, non-exclusive rights, titles, and interests that you may be deemed to have in any reproduction, product, or derivative work using or incorporating the Entry, including but not limited to, photographs of the finished/prepared recipe. You represent and warrant that: (i) all rights to the Entry belong to you and the Entry does not and shall not infringe on any copyright or any other third party right nor violate any applicable law or regulation, (ii) you have the right to grant any and all necessary rights and licenses provided herein, including without limitation, all necessary copyright and other related rights to the Entry, free and clear of all claims and encumbrances without violating the rights of any person or entity, including any right to privacy or publicity, (iii) you hereby hold the Sponsor harmless from and against any third party claim arising from use of the Entry and you waive any right to inspect or approve uses of the Entry or to be compensated for any such uses. Participating in the Contest constitutes permission to the Sponsor and its agencies to use participants' names, biographical information, pictures/portraits, likenesses and/or voices and Entry, for purposes of advertising and trade without further compensation, unless prohibited by law. BY ACCEPTING THE PRIZE, THE WINNER AGREES THAT MCNEIL NUTRITIONALS, LLC, ITS RESPECTIVE PARENT, SUBSIDIARIES, AFFILIATED COMPANIES, AGENTS, RETAILERS, ADVERTISING AND PROMOTION AGENCIES, AND ALL OF THEIR RESPECTIVE SHAREHOLDERS, OFFICERS, DIRECTORS, EMPLOYEES AND ASSIGNS, MEMBERS, REPRESENTATIVES AND AGENTS, WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE HELD HARMLESS BY WINNER FOR ANY LIABILITY FOR ANY INJURY, LOSS OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING DEATH, AND PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF THE PRIZE OR PARTICIPATION IN THIS CONTEST OR PARTICIPATION IN ANY CONTEST OR RELATED ACTIVITY. You hereby represent and warrant that you have read these rules and are fully familiar with its contents.
